This English text is for information. The Dutch version is legally authoritative. Algemene voorwaarden

In brief

  • A contract starts when you accept a written quote and pay a 30 % deposit.
  • Free reschedule or cancel up to 7 days before the session; later rules are in section 7.
  • Mixing and mastering include 2 revision rounds as described on the service pages.
  • The Dutch version is authoritative; questions via contact or FAQ.

1. Scope

These terms apply to all services Nelkenshift B.V. (the studio) provides from Amsterdam, including in-studio recording, mixing, mastering and podcast sessions. They apply together with any specific terms on a quote or order confirmation. Accepting a quote or paying a deposit means you agree to these terms and our privacy policy. Browsing the site or asking for information alone does not create a contract.

Business clients who supply personal data about guests or artists should sign a data processing agreement where needed; it prevails over other documents for that data.

2. Definitions

TermMeaning
ClientThe individual or company accepting a quote.
ConsumerA natural person acting outside their trade or profession.
Business clientA company, label, agency or other organisation ordering professionally.
QuoteThe written offer describing the service, date, duration, price with and without VAT, deposit and any extras.
SessionThe reserved studio time with an engineer, or the agreed delivery window for mix or master work.
Deposit30 % of the agreed price including VAT, due when the booking is confirmed.
Business dayMonday to Friday, excluding public holidays when we are closed.

3. Studio identity

Contracting party: Nelkenshift B.V., private limited company (B.V.), Govert Flinckstraat 142, 1073 CG Amsterdam, trade register 69985906, VAT NL806374020B01, represented by Sven de Vries. Contact: 020 244 8917, [email protected], contact form. Opening hours: Monday–Friday 10:00–22:00, Saturday 11:00–18:00, Sunday by appointment only..

4. Quotes and formation

A request via contact, phone or email leads to a written quote. Unless stated otherwise, a quote stays valid for 2 business days after sending. The contract is formed when you accept the quote in writing (email is enough) and the deposit reaches our account or is confirmed. Until then, a time slot may be held but is not finally reserved.

We may decline a request for an objective reason, such as safety rules, more than 6 musicians at once in the live room, or insufficient lead time for complex projects.

5. Prices and VAT

Prices on services and service pages are consumer prices including 21 % VAT unless clearly shown net for business clients. Examples: €95 per hour for vocals, €285 per song for mixing, €75 per track for mastering. The price on your accepted quote is binding.

Extra studio time beyond the booked block is charged only with your oral or written consent, at the hourly rate for that service. Your travel, parking or gear costs are excluded unless listed on the quote.

6. Payment

The deposit is 30 % of the total price including VAT and offsets the balance. Consumers pay the remainder on the session day or when the final mix or master is delivered, by bank transfer or card in the studio, unless the quote says otherwise.

Business clients pay within 14 days of the invoice date. Late payment may incur statutory commercial interest and reasonable collection costs. Until full payment we may withhold final files; working files are kept as in section 11.

7. Reschedule and cancellation by the client

TimingEffect
More than 7 days before the sessionFree reschedule or cancel; on cancellation the deposit is refunded within 14 days.
Within 7 days down to 72 hours before startDeposit moves once to a new date within 3 months; if none is booked, the deposit is forfeited.
Less than 72 hours or no-showDeposit remains due unless you prove force majeure on your side.

Send requests in writing to [email protected] and confirm by phone if timing is unclear. Arriving late shortens the session without extension when the next block is booked. These rules do not limit statutory withdrawal rights where they apply.

8. Withdrawal for distance contracts

When a consumer concludes a distance contract (email, phone, form) without being in the studio at the same time, a 14-day withdrawal period generally applies from conclusion. If you want the session or delivery to start before that period ends, you must ask explicitly; if you withdraw after work has started, you pay a proportionate amount for services already provided.

Withdrawal does not apply when the service is fully performed within the period with your express consent and waiver, or for custom audio that cannot be returned. For cancellation outside withdrawal, see section 7.

9. Changes or cancellation by the studio

If essential equipment fails, an engineer is unavailable or similar circumstances occur on our side, we notify you as soon as possible and offer a replacement slot. If you decline, we refund amounts paid for services not delivered within 14 days. We do not swap engineers without discussion except in emergencies with equivalent qualification.

10. Running sessions

The studio has 3 rooms, including a live room of about 42 m² (up to 6 musicians at once) and a vocal booth of about 8 m². Follow engineer instructions for safety and quality. No smoking or vaping indoors.

Participants under 16 may take part only with written consent from a parent or guardian who also books and pays; until 18 we expect an adult supervisor present. Damage to studio property through intent or gross negligence by you or your guests is charged to you. Your own instruments and gear remain your risk.

11. Files, delivery and archive

Unless the quote says otherwise, we deliver WAV files (24-bit) via download link or on media you supply. Turnaround times for mix and mastering start when complete, usable source files are received.

We keep session and project files for 24 months after the last activity on the project, then delete them unless longer storage is agreed in writing. Back up within that window. See exporting stems and loudness before mastering in the guides.

12. Revisions

Mixing includes 2 revision rounds; mastering 2 round, as on mixing and mastering. A round is one bundled list of notes processed in one pass. Extra rounds or a new artistic direction after approval are quoted separately.

13. Intellectual property

Your works. Compositions, lyrics and other material you supply remain yours or your rights holders’. You warrant you have the necessary rights on samples, covers and performances and handle collective management yourself.

Recordings. When you initiate and pay for a recording, performer and producer rights on the recording pass to you in practice after full payment, as far as the law allows. The studio does not claim co-authorship of your music.

References. We use your artist name or project in a portfolio or social posts only with your written consent.

Voice and AI. We do not use recordings to train voice models or generative AI and do not clone a voice without express written consent from the person concerned.

14. Liability

We perform assignments with the care expected of a professional recording studio. Artistic outcome also depends on your preparation and choices; we do not guarantee a particular result. Our liability is limited to direct damage caused by an attributable breach, except for intent, deliberate recklessness or personal injury.

For business clients, total contractual liability per assignment is capped at the invoice amount including VAT for that assignment, except in those cases. Indirect loss, lost profit or missed releases are excluded where the law permits.

15. Conformity and complaints

If digital audio we deliver does not match the quote (format, length, version), report it within a reasonable time; we will fix or redeliver at no extra charge. Send complaints to [email protected] with details and your preferred remedy. We reply within 2 business days. If informal resolution fails, follow the dispute route in legal notice.

16. Force majeure

Neither party must perform when force majeure (for example power failure, pandemic measures, network outage beyond our control) prevents it. The affected party informs the other and reschedules where possible. If the block lasts more than 28 days or no new date works, either party may terminate with refund for undelivered services.

17. Personal data

We process personal data under the privacy policy. For business orders involving third-party data, the data processing agreement applies.

18. Final provisions

These terms are governed by Dutch law. Consumers may also rely on mandatory rules of the country where they habitually reside. Competent courts for business disputes: Amsterdam, without limiting mandatory consumer protection.

If a clause is void, the rest remains and we replace the void part with a valid clause closest to its purpose. Changes are published on this site with date 15 October 2026; the version in force when you accepted your quote applies to that job. In case of translation differences, the Dutch text prevails.
